What we own, and how it reaches the company.
The Company owns its core technology outright — the FIELD platform, the devices, the infoceutical IP and the data — contributed as equity, with no licence, royalty or seller note over it.
The headline. E4L, Inc. owns the FIELD diagnostic platform and its products outright, through the acquired subsidiaries. The contributed IP was brought in as the founder’s equity contribution — there is no seller note, no royalty and no repayment stream, and no licence caveat over the core technology. Certain documentary transfers are being completed in the ordinary course; the current status of each is shown below and the associated risk is disclosed in the Disclosure Memorandum.

- FIELD platform & the diagnostic engine — the AI diagnostic system at the centre of the ecosystem, resident in NES Health LLC.
- miHealth device IP — the practitioner bioenergetic device (miHealth 2), in NES Health LLC.
- GEM wearable & consumer platform — the device and app IP, in Energy4Life LLC.
- Infoceutical IP — the product line and the underlying information map.
- BWS software — the practitioner system.
- Data asset — an acquired dataset of 1M+ scans built over 26 years that FIELD is trained on.
- Patents — a granted UK patent (2024) covering the core pulse-encoding technology, with a corresponding US patent application filed in 2022.
- Brand, content & authored works — the E4L / NES brand, the customer base, and four books by the founder on bioenergetics.

How the transfer is protected
- Immediate assignment at closing. The contributed IP is assigned to the Company at completion under an Immediate IP Assignment — legal and beneficial title passes at closing, not at the end of the UK wind-down.
- Solvent wind-down. The legacy UK operating company is being wound down solvently, with creditors settled, after the assets were transferred out at value — reducing clawback risk.
- Investor covenant available. Investors may elect a side-letter IP-vesting covenant: if the IP is not securely vested and free of challenge within six (6) months of first closing, the investor may elect repayment of their purchase amount. See the Side Letter.
The disclosed risk. Because some steps are still completing, a delay, defect or third-party challenge to a transfer could affect title to the relevant asset. This is disclosed as a chain-of-title risk factor in the Disclosure Memorandum, which governs. The Company expects the transfers to complete in the ordinary course.
