A clear path from decision to done.

If you have decided to invest, this page is the whole process. Five steps, in order, each with one action. The path is designed to take days, not weeks — and Harry walks it with you personally.

  1. Before anything else

    Confirm & verify accreditation

    This round is limited to accredited investors only. Complete the Accredited Investor Questionnaire — open it to read, print or save to PDF; it is also sent with your invitation — and return it to harry.massey@e4l.com.

    The offering is made under Reg D Rule 506(c), so the questionnaire on its own is not enough: we are required to verify your accredited status, and Part D of the questionnaire sets out the routes. Most investors take the simplest one — a short letter from their CPA, attorney, broker-dealer or registered investment adviser, dated within the last three months — which means no financial statements or tax returns ever come to us.

    We review both and confirm back to you before any documents are issued. Entities: the questionnaire covers entity qualification and signatory authority too.

  2. The controlling document

    Read & acknowledge the Disclosure Memorandum

    The Disclosure Memorandum is the controlling document for this offering — it governs over the deck, this site, and anything said in conversation. Please read it in full, including the risk factors.

    Then return the signed acknowledgment. It is a required gate: no acknowledgment, no SAFE.

  3. Your documents

    Sign the SAFE

    We issue your SAFE — as a PDF or by e-signature, whichever you prefer — with your investment amount entered. Terms are identical for every investor in the $5M round: a $73,000,000 post-money valuation cap plus a 15% discount, converting at the lower of the two.

    If you elected the optional side letter, it is signed at the same time with your elections completed.

  4. Countersignature & funds

    Countersignature + wire

    Once your signed documents are in, Harry countersigns for the Company. You do not need wire details before then — and you will not find them on this site.

    Wire safety — please read

    Wire instructions are sent individually after your SAFE is countersigned. We will never send new or changed wire details by email alone — always verify by phone with Harry before sending funds.

  5. Done — and after

    Confirmation & what happens next

    When your funds arrive and are matched to your SAFE, you receive the fully countersigned SAFE and a receipt confirmation for your records.

    The Company files Form D with the SEC within 15 days of the first close, with state notice filings as required. From then on you'll receive a monthly investor update by email with the key operating and financial KPIs.

    As a SAFE investor you have standard information rights: periodic financial updates and the Company's bi-annual (twice-yearly) investor report. These are information rights only — no board seat and no consent rights.

    And conversion, in one sentence: your SAFE converts into the Company's next priced round on standard terms, at the lower of the $73,000,000 cap price or 15% below the round price — with the same lower-of terms applied to the sale price if a liquidity event comes first.
